Aristotle Terms of Service

JSV AI Inc. (d/b/a Aristotle) (“Aristotle,” “we,” “our,” or “us”) welcomes you. We invite you to access and use our websites located at https://www.app.heyaristotle.com and at https://www.heyaristotle.com, and the artificial intelligence (“AI”) tutoring services made available through them (collectively, the “Services” as further described in Section 4 below), subject to the following terms and conditions (the “Terms of Service” or “Terms”). These Terms of Service apply to all users of the Services.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE, AND THE TERMS AND CONDITIONS OF OUR PRIVACY POLICY (THE “PRIVACY POLICY”), WHICH IS HEREBY INCORPORATED BY REFERENCE (COLLECTIVELY, THE “AGREEMENT”). YOUR USE OF THE SERVICES MAY INVOLVE THE TRANSMISSION TO US OF CERTAIN PERSONAL INFORMATION, AND THE COLLECTION, USE, AND SHARING OF SUCH PERSONAL INFORMATION ARE FURTHER DESCRIBED IN THE PRIVACY POLICY. IF YOU DO NOT AGREE TO ANY OF THE TERMS IN THIS AGREEMENT, DO NOT ACCESS OR USE THE SERVICES.
If you accept or agree to the Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the Agreement and, in such event, “you” and “your” will refer and apply to that company or other legal entity.
THE SECTIONS BELOW TITLED “BINDING ARBITRATION” AND “CLASS ACTION WAIVER” CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM.
Capitalized terms not defined in these Terms of Service shall have the meaning set forth in our Privacy Policy.

1. Who may use the Services

1.1 Minimum Age Requirement

The Services are intended only for individuals who are at least 13 years old.
If you are under 13 years old, you are not permitted to use the Services.
We do not knowingly allow children under 13 to create accounts or access the Services. If we determine that a user does not meet the minimum age requirements, we may suspend or terminate the account and delete associated information in accordance with applicable law. By creating an account or using the Services, you represent and warrant that you meet these age requirements.

1.2 Adults (18+)

If you are 18 years old or older (or the age of majority where you live), you may create an account and use the Services. If you have a child who is a Teen, you may create and manage a Student Profile for that Teen under your account; in that case, you are a “Parent Account Holder.”

1.3 Teens (13–17)

If you are between 13 and 17 years old (or the applicable age of digital consent where you live) (a “Teen”), you may use the Services through either: (a) a Student Profile created or managed by a Parent Account Holder; or (b) if you are legally permitted to consent to use of the Services on your own, an account that you create directly for free or other non-paid access, if permitted by the Services (a “Teen Free Account”).
A Teen Free Account does not include Paid Services unless and until a Parent Account Holder or other adult authorized to purchase Paid Services separately enrolls in Paid Services for that Teen Free Account. Teens may not purchase Paid Services or submit payment information through the Services. Paid Services may be purchased only by a Parent Account Holder or other adult authorized to purchase them.

2. Accounts and security

  • You must provide accurate, complete information and keep it current.
  • You are responsible for all activity under your account and for maintaining the confidentiality of credentials.
  • If you suspect unauthorized access, you must notify us promptly at founders@heyaristotle.com. We are not responsible for any loss or damage arising from your failure to safeguard your account credentials.
We may suspend or terminate your account at any time, in our sole discretion, to protect users, to enforce these Terms, or for any other lawful reason.
We may require you to verify your email address, authenticate through a third-party login provider, or complete other account verification steps before accessing some or all of the Services.

3. Parent-managed student profiles and parental rights

If you are a Parent Account Holder:
  • You may create one or more student profiles for a Teen under your account (“Student Profiles”).
  • You control account settings and permissions, and you may access session history, summaries of tutoring sessions, and related activity for any Student Profile associated with your account, including during any free, trial, or paid access period, and request deletion by contacting founders@heyaristotle.com.
  • You represent that you are the Teen’s parent or legal guardian (or otherwise legally authorized) and that you provide any required consents.

4. The Services (and important limitations)

4.1 The Services

“Services” means Aristotle’s AI-assisted educational tutoring platform and related services, including real-time interactive tutoring sessions, verbal and text-based interactions, whiteboard and session history features, software, algorithms, artificial intelligence and machine learning models, system architecture, user interfaces, tools, documentation, and all related technology and improvements made available by Aristotle.
The Services include session functionality and features, but exclude User Content (as defined below).

4.2 Important Limitations

No professional services. The Services are for educational support only and do not provide medical, psychological, legal, or other professional advice.
AI-powered tutoring. The Services are AI-powered and are not monitored by a human in real time.
No guarantees. We do not guarantee academic outcomes, grades, test scores, or admission results.
Human oversight recommended. Parents/guardians and students should independently evaluate the information provided and use appropriate judgment.

5. Academic integrity and acceptable use

By accessing and/or using the Services, you hereby agree that you will not:
  • Use the Services for any unlawful purpose, in violation of any applicable law, or in violation of any third-party rights;
  • Impersonate any person or entity or misrepresent your identity or affiliation;
  • Access, use, or monitor the Services to build, benchmark, or support a competing product or service, including using the Services to develop or train competing models (except to the extent such restriction is prohibited by applicable law);
  • Copy, decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code, underlying models, or non-public components of the Services;
  • Circumvent, disable, interfere with, remove, alter, or otherwise bypass any security feature, access control, rate limit, advertisement, or other technical protection of the Services;
  • Use any robot, spider, scraper, crawler, or other automated means to access the Services for any purpose without our prior written permission; provided that operators of public search engines may use spiders to index publicly available portions of the Services solely to create searchable indices (but not caches or archives);
  • Interfere with or disrupt the integrity or performance of the Services, including by introducing viruses or malicious code, attempting unauthorized access to systems or data, or imposing an unreasonable or disproportionately large load on our infrastructure;
  • Record, submit, or transmit any individual’s voice or personal information through the Services without first obtaining any consent required by applicable law;
  • Create, upload, or share content that is illegal, infringing, harmful, or that harasses, exploits, or harms others (including minors); or
  • Use the Services to cheat, plagiarize, violate academic integrity policies, or obtain answers for graded assessments in violation of applicable rules.
You agree not to upload or contribute to the Services any Input (as herein defined) that contains: (i) the personal information, image, likeness, or other identifying information of any third party unless you have obtained all necessary rights, consents, permissions, and authorizations from such third party to post such content and to grant Aristotle the rights set forth in this Section; or (ii) protected health information subject to HIPAA, financial data subject to GLBA, educational records subject to FERPA, or other data subject to industry-specific regulatory requirements (collectively, "Regulated Data"), unless expressly authorized by a separate written agreement with Aristotle. You represent and warrant that any User Content you post complies with the foregoing and does not violate any applicable data protection, privacy, or other law, regulation, or third-party right. We have no obligation to verify your compliance with this Section and assume no responsibility for your failure to obtain required consents or authorizations. Any violation of this Section shall be deemed a material breach of this Agreement, and Aristotle disclaims any obligations arising under regulatory frameworks with respect to data submitted in violation of this Section. Without limiting the foregoing, you are solely responsible for obtaining all legally required consent from all participants before recording, uploading, or sharing any audio or video content, including compliance with applicable wiretapping, eavesdropping, and recording laws.
We reserve the right, in our sole and absolute discretion, to deny you (or any device) access to the Services, or any portion thereof, without notice.

6. Use of Audio Features

By activating or using voice-enabled features of the Services, you consent to the recording, transmission, transcription, and processing of your voice input for the purpose of providing the Services, including generating tutoring responses. You acknowledge that your audio will be processed in real time and converted into text. Raw audio recordings are not stored, but transcripts may be retained in accordance with these Terms and our Privacy Policy.

7. Intellectual Property

7.1 Ownership of the Services

As between you and Aristotle, Aristotle (and its licensors, where applicable) owns all right, title, and interest in and to the Services (as defined above), including all software, algorithms, artificial intelligence and machine learning models, system architecture, user interfaces, documentation, features, functionality, and all related intellectual property rights therein. Except for the limited, revocable right to access and use the Services in accordance with these Terms, no rights, title, or interest in or to the Services are granted or transferred to you, whether by implication, estoppel, or otherwise. All trademarks, service marks, logos, and trade names displayed through the Services are the property of Aristotle or their respective owners. You may not use any such marks without prior written permission from the applicable owner.

7.2 User Content

“User Content” means (a) any information, materials, or content that you submit, upload, input, or otherwise provide through the Services, including voice audio, text, prompts, documents, drawings, and whiteboard content (“Inputs”), and (b) the session-specific responses, transcripts, annotations, summaries, or other materials generated for you during your use of the Services based on your Inputs (“Outputs”). User Content does not include the Services or any portion thereof, including any underlying software, algorithms, artificial intelligence models, system architecture, training data, or other technology used to provide the Services.
As between you and Aristotle, and subject to the licenses granted in these Terms, you retain ownership of your User Content. Aristotle retains all right, title, and interest in and to the Services and all underlying technology, including any improvements, modifications, or enhancements thereto.

7.3 License to User Content

Notwithstanding the foregoing, by providing us with User Content, you grant us and our affiliates, service providers, successors, and assigns a perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, analyze, create derivative works from, and otherwise process your User Content to operate, provide, maintain, improve, and develop the Services, including to develop and improve our artificial intelligence and machine learning technologies, in each case subject to applicable law and our Privacy Policy. You represent and warrant that you own or control all rights necessary to grant this license.
You acknowledge and agree that insights, learnings, and improvements derived from your User Content (“Derived Materials”) may become embedded in our models in a manner that cannot practicably be separated or removed. We retain a perpetual, irrevocable, royalty-free, sublicensable license to all such Derived Materials, as well as any aggregated or de-identified data, even after deletion of your User Content or termination of your account, provided that such materials do not identify you.

7.4 Restrictions on the Services

Except as expressly permitted in these Terms, you may not: (i) copy, modify, or create derivative works of the Services; (ii) distribute, transfer, sublicense, lease, lend, or rent the Services to any third party; (iii) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying components of the Services; or (iv) use the Services in a manner that exceeds the scope of the rights expressly granted in these Terms.

8. Paid Services, billing, and auto-renewal

8.1 Subscriptions and fees

Some features require payment (“Paid Services”). Prices and billing intervals will be disclosed at purchase. Free, trial, promotional, or other limited access to the Services, including access through a Teen Free Account, does not create a paid subscription. Paid Services begin only when a Parent Account Holder or other adult authorized to purchase Paid Services separately enrolls in Paid Services and provides any required payment authorization.
If you enroll in a subscription for Paid Services, you agree that your subscription will automatically renew at the frequency disclosed at the time of purchase unless and until you cancel. By enrolling, you authorize us (or our third-party payment processors) to charge your designated payment method on a recurring basis for the applicable subscription fee, including any applicable taxes, without further authorization from you, until you cancel.
We will provide an acknowledgment of your enrollment that includes the material subscription terms and information regarding how to cancel, in accordance with applicable law.

8.2 Auto-renewal

Unless you cancel, subscriptions renew automatically at the price and billing interval disclosed at the time of enrollment. If we change the subscription price, we will provide advance notice as required by applicable law, and the new price will apply beginning with the next renewal after the notice period.
You can cancel at any time through your account settings, the Stripe billing portal, or another online cancellation mechanism made available through the Services, or by contacting founders@heyaristotle.com. You may cancel using the same method you used to enroll, where applicable. To avoid renewal charges, you must cancel before the end of the then-current billing period.
Cancellation will take effect at the end of the then-current billing period unless otherwise disclosed at the time of enrollment. Except as required by applicable law or expressly stated at the time of purchase, subscription fees are non-refundable once charged and we do not provide prorated refunds or credits for partial billing periods.
We reserve the right to modify, suspend, or terminate subscription offerings at any time, subject to applicable law.

8.3 Trials, free access, discounts, and price changes

We may offer free access, trials measured by time, trials measured by number of sessions, discounts, or other promotional offers. The length, number of sessions, usage limits, features, and other material terms of any such offer will be disclosed at enrollment or in the Services and may vary by offer.
If you enroll in a trial or discounted offer that requires payment information and is disclosed as converting to a paid subscription, you will not be charged during the trial or promotional period unless otherwise disclosed at enrollment, and your subscription will convert to a paid plan at the end of the trial or promotional period unless you cancel before it ends. You may cancel before the end of the trial or promotional period through the cancellation method disclosed at enrollment or as described in Section 8.2.
By enrolling in a trial or promotional offer that requires payment information and is disclosed as converting to a paid subscription, you authorize us (or our third-party payment processors) to charge your designated payment method for the applicable subscription fee, including applicable taxes, on a recurring basis at the end of the applicable trial or promotional period unless you cancel before it ends.
We may change prices. If required by law, we will provide advance notice and/or obtain consent. If we change subscription pricing, we will provide advance notice as required by applicable law, and the new price will apply to subsequent billing periods after the notice period. You will have the opportunity to cancel before any price change takes effect.

8.4 Taxes

Taxes may apply and will be charged as required.

8.5 Payment processing

Payments are handled by third-party processors. When you provide payment information for Paid Services, we generally store payment tokens and limited billing metadata, not full card numbers.

8.6 Refunds

Fees are non-refundable except where required by law or where we expressly provide a refund policy at purchase.

9. Third-party services and links

The Services may integrate with third-party products (for example, Stripe or other payment processors, speech-to-text, hosting, analytics). Third-party services are governed by their own terms. Aristotle is not responsible for third-party services outside our control.

10. Feedback

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Services (“Feedback”). Although we encourage you to contact us, we do not want you to, and you should not, submit any content that contains confidential or proprietary information. By submitting Feedback, you irrevocably assign to Aristotle all right, title and interest in and to such Feedback. To the extent any rights in the Feedback cannot be assigned, you grant Aristotle a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, perform, and otherwise exploit such Feedback for any purpose, including developing, improving and commercializing the Services, without compensation or attribution to you. Aristotle shall be free to use and disclose any ideas, concepts, know-how, techniques, or other materials contained in the Feedback without restriction.

11. Copyright complaints (DMCA)

If you believe content on the Services infringes your copyright, send a notice to:

Counter-Notice: If you believe your material was removed or disabled by mistake or misidentification, you may send a counter-notice including: (i) identification of the material and its prior location; (ii) a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled by mistake or misidentification; (iii) your name, address, and telephone number; (iv) a statement that you consent to the jurisdiction of the federal district court for your address (or, if outside the U.S., the Northern District of California) and that you will accept service of process from the person who provided the original notice; and (v) your physical or electronic signature.
Your notice must include: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the notice is accurate and you are authorized, and your physical or electronic signature.
Repeat Infringer Policy: In accordance with the DMCA and other applicable law, Aristotle has adopted a policy of terminating, in appropriate circumstances and at Aristotle’s sole discretion, the accounts of users who are deemed to be repeat infringers. A “strike” is a valid notice of claimed copyright infringement received by Aristotle. Users who receive three (3) strikes may be deemed repeat infringers, though Aristotle retains sole discretion to determine whether a strike has occurred and whether termination or other action is appropriate. Aristotle may also, in its sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

12. Suspension and termination

You may stop using the Services at any time.
We may suspend or terminate access if you violate these Terms, if we must do so to comply with law, or to protect users or the Services. We may also discontinue the Services (in whole or part).

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING ANY AI-GENERATED RESPONSES, EXPLANATIONS, HINTS, EXAMPLES, SUMMARIES, OR OTHER OUTPUT (AS DEFINED HEREIN), ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
OUTPUT MAY BE INCORRECT, INCOMPLETE, OUTDATED, OR INAPPROPRIATE FOR YOUR PARTICULAR CIRCUMSTANCES, AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT REVIEW AND JUDGMENT.
THE SERVICES ARE NOT DESIGNED, INTENDED, OR APPROPRIATE FOR USE IN CONNECTION WITH MEDICAL, MENTAL HEALTH, EMOTIONAL WELLBEING, CRISIS, SELF-HARM, SAFETY, OR EMERGENCY SITUATIONS. THE SERVICES DO NOT PROVIDE MEDICAL, MENTAL HEALTH, COUNSELING, THERAPY, CRISIS RESPONSE, OR OTHER PROFESSIONAL ADVICE, DIAGNOSIS, TREATMENT, OR SUPPORT. IF YOU ARE EXPERIENCING A MEDICAL OR MENTAL HEALTH EMERGENCY, THOUGHTS OF SELF-HARM, OR A SAFETY CONCERN, CONTACT EMERGENCY SERVICES, A CRISIS HOTLINE, A TRUSTED ADULT, OR A QUALIFIED PROFESSIONAL IMMEDIATELY.
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR SUITABILITY OF OUTPUT FOR ANY SPECIFIC EDUCATIONAL, ACADEMIC, MEDICAL, MENTAL HEALTH, EMOTIONAL WELLBEING, SAFETY, OR TESTING PURPOSE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, FREE FROM HALLUCINATIONS OR BIASES, OR THAT ANY OUTPUT WILL BE UNIQUE OR NOT SIMILAR TO CONTENT PROVIDED TO OTHER USERS.
YOU ARE SOLELY RESPONSIBLE FOR HOW YOU USE ANY OUTPUT, INCLUDING FOR ACADEMIC INTEGRITY, COMPLIANCE WITH SCHOOL OR INSTITUTIONAL RULES, AND FOR VERIFYING THE ACCURACY OF ANY INFORMATION PROVIDED.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARISTOTLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR BUSINESS INTERRUPTION, LOSS OF USE, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARISTOTLE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
  • $100, OR
  • THE AMOUNT YOU PAID TO ARISTOTLE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
ARISTOTLE SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM THE RECORDING, UPLOADING, OR SHARING OF USER CONTENT BY USERS IN VIOLATION OF APPLICABLE CONSENT, RECORDING, OR WIRETAPPING LAWS.
AI FEATURES MAY PRODUCE INACCURATE OUTPUT AND DO NOT CONSTITUTE LEGAL, MEDICAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. ARISTOTLE HAS NO OBLIGATION TO MONITOR, VERIFY, OR CORRECT USER CONTENT OR AI-GENERATED OUTPUT. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF AI FEATURES. PROVISION OF AI FEATURES DOES NOT CREATE ANY DUTY OF CARE, FIDUCIARY DUTY, OR SPECIAL RELATIONSHIP BETWEEN ARISTOTLE AND YOU.
YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE SERVICES, USER CONTENT, OR AI FEATURES IS TO STOP USING THE SERVICES.
THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow certain limitations, so these limits may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for willful misconduct, fraud, or gross negligence where such limitation is prohibited.

15. Indemnification

For purposes of this Section only, “you” means (a) any Adult user of the Services, and (b) any Parent Account Holder, including with respect to any Teen or Student Profile associated with the Parent Account Holder’s account.
You agree to indemnify, defend, and hold harmless Aristotle and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your acts or omissions in connection with the Services and, if you are a Parent Account Holder, the acts or omissions of any Teen or Student Profile associated with your account, including: (a) use or misuse of the Services, (b) User Content submitted, uploaded, or transmitted through your account, (c) violation of these Terms or applicable law, (d) any claim that User Content submitted through your account infringes, misappropriates, or violates any intellectual property, privacy, publicity, or other rights of any third party, (e) failure to obtain any legally required consent from any third party whose voice, image, likeness, or personal information is recorded, uploaded, transmitted, or otherwise processed through your account; (f) violation of any academic integrity policy, examination rule, school policy, or educational institution requirement in connection with use of the Services; or
(g) any unauthorized access to or use of the Services through your account credentials.
Aristotle reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

16. Dispute resolution and arbitration (for Parent Account Holders and adult users)

This section affects legal rights.

16.1 Informal resolution first

Before filing a claim, you agree to contact us at founders@heyaristotle.com with a brief description and requested relief, and allow 30 days for informal resolution.

16.2 Arbitration agreement

If informal resolution does not resolve the dispute, you and Aristotle agree to resolve any dispute arising out of or relating to these Terms or the Services by binding arbitration, except:
  • either party may bring an eligible claim in small claims court; and
  • either party may seek injunctive or equitable relief in court for misuse of intellectual property, account compromise, or security-related issues.
This arbitration agreement is governed by the Federal Arbitration Act (“FAA”) and evidences a transaction involving interstate commerce. Arbitration will be administered by the American Arbitration Association (AAA) under its consumer rules. Unless otherwise required by applicable law, the seat of arbitration shall be San Francisco County, California. The arbitration may be conducted by phone/video unless an in-person hearing is required. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Any court proceedings permitted under this Section shall be brought in the state or federal courts located in San Francisco County, California, and the parties consent to personal jurisdiction and venue in those courts, except where prohibited by applicable law.

16.3 Class action waiver

YOU AGREE THAT YOU MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

16.4 Arbitration opt-out

You may opt out of arbitration by emailing founders@heyaristotle.com within 30 days of first accepting these Terms with the subject line “Arbitration Opt-Out” and your name and account email.

16.5 Minors and parents

For Student Profiles created or managed by a Parent Account Holder, the Parent Account Holder is the contracting party. For Teen Free Accounts, the Teen’s access to and use of the Services is governed by these Terms. Nothing in these Terms is intended to waive any non-waivable rights a minor may have under applicable law. If any portion of this arbitration agreement is found unenforceable as to a particular claim, that claim will proceed in court while the remaining claims proceed in arbitration.

17. Governing law

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules, except where consumer protection laws require otherwise.

18. Changes to the Terms

We may update these Terms. We will post the updated Terms and change the “Last Updated” date. If changes are material, we will provide reasonable notice (for example, through the Services or by email). Continued use after the effective date means you accept the updated Terms.

19. Miscellaneous

  • If any provision is unenforceable, the rest remains in effect.
  • You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.
  • These Terms and the Privacy Policy are the entire agreement regarding the Services for consumer use, except where a separate written agreement applies (for example, school agreements).

19.1 Force Majeure

Aristotle will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond Aristotle’s reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, labor disputes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
